Rabbit Hole Pictures Movie Pitch Contest

– OFFICIAL RULES –

The Rabbit Hole Pictures, LLC (“Rabbit Hole Pictures”) Movie Pitch Contest (the “Contest”) is your opportunity to submit a 60-second movie pitch to a movie production company. Your participation in the Contest constitutes your unconditional agreement to and acceptance of these rules (the “Official Rules”), which are final and binding in all matters relating to or arising out of the Contest. Your eligibility to win the Contest is contingent upon fulfilling all requirements set herein.

This Contest is administered solely by Rabbit Hole Pictures. Any questions, comments or complaints regarding the Contest must be directed to Rabbit Hole Pictures at [email protected].

1. WHO MAY ENTER? You may enter the Contest if (a) you are at least 18 years of age or older at the time of entry; (b) you pay the Entry Fee (as defined below); (c) you submit an audio file (in English) where you pitch a creative and original movie idea in under 60-seconds (a “Submission”); (d) you provide a valid email address with the Submission; and (e) you agree to be bound by these Official Rules. For purposes of the Contest, “Entrant” means the person who submits a Movie Storyline Submission on behalf of himself/herself. 

    

2. CONTEST PERIOD. The Contest begins when this Contest is posted on our Website and ends at midnight on November 15, 2020 (the “Contest Period”), unless extended. Submissions submitted to Rabbit Hole Pictures outside the Contest Period or that otherwise do not conform with the Official Rules will not be eligible for consideration. If you pay an Entry Fee before the end of the Contest Period but submit a Submission after expiration of the Contest Period, you will not be entitled to a refund of the Entry Fee. Rabbit Hole Pictures reserves the right to extend or shorten the Contest Period in its sole discretion. Extensions, if any, will be posted on Rabbit Hole Pictures Website. If the Contest is shortened, any Entrants who pay an Entry Fee but do not Submit a Submission will be refunded. Once the Contest Period has expired, Rabbit Hole Pictures will update it website to notify potential Entrants that the Submission is now closed and no further Submissions will be reviewed by the Judges. The Judges of the Contest are chosen employees/owners of Rabbit Hole Pictures.

    

3. ENTRY FEE. In order to be eligible to submit a Submission, you are required to pay an Entry Fee which dependent upon when you submit your Submission:

• The cost of an Early Bird Submission, which will run from August 15, 2020 through September 15, 2020 will be $10;
• The cost of a Regular Submission, which will run from September 16, 2020 through October 15, 2020 will be $15; and
• The cost of a Late Submission, which will run from October 16, 2020 through November 15, 2020 2020 will be $20 (the three submission fees are collectively referred to herein as the “Entry Fee”).

The Entry Fee must be paid in full prior to your Submission. If the Contest is extended, all Submissions after the initial period must pay the Late Submission Fee. The Entry Fee must be paid via PayPal or other acceptable e-payment on Rabbit Hole Pictures Website.

4. CONTEST DESCRIPTION. During the Contest Period, Entrants can submit a 60-second audio clip of a creative and original storyline for a movie. There are no guidelines for genre or otherwise, other than what it set forth in these Contest terms. No preference will be given to any type of Submission, or the Entrant who submits a Submission; all Submissions will be judged based on their content, and on the originality, creativity, and entertainment value.

    

5. TRANSFER OF INTELLECTUAL PROPERTY. By entering this Contest and submitting a Submission, you hereby grant Rabbit Hole Pictures an irrevocable license to share and discuss your Submission in connection with the Purposes of this Contest, as well as a license to publicize and promote your submission on its Website and/or Social Media Accounts, in its sole discretion.

    

6. SUBMISSION RESTRICTIONS. In addition to the foregoing, Submissions to the Contest may not contain any content that:

    

   1. Contains copyrighted materials owned by others (e.g., published works of original authorship) that are used without permission;
   2. Contains material that violates or infringes another’s rights, including but not limited to, publicity or intellectual property rights;
   3. Is profane or pornographic;
   4. Promotes bigotry, racism, hatred, or harm against any group or individual;
   5. Contains material that is indecent, obscene, slanderous, libelous, or otherwise tortious; and
   6. Defames, misrepresents, or contains disparaging remarks about people, brands, products, or companies.

Your submission must not infringe upon the copyright(s), trademark(s), rights of privacy, publicity, or any other intellectual property or other rights of any person or entity. If a Submission contains any material or elements that are not owned by you, and/or which are subject to the rights of any third parties, you are responsible for obtaining and representing that you have obtained, prior to Submission, all releases and consents necessary to permit your submission and Rabbit Hole Picture’s subsequent use of your Submission in accordance with the Official Rules.

Compliance with the foregoing requirements shall be determined by Rabbit Hole Pictures in its sole discretion. Rabbit Hole Pictures may, in its sole discretion, ignore and/or disqualify any submissions to the Contest that it deems to be non-compliant with the Official Rules, including any Submissions that the Judges believe has may infringe on the intellectual property of another.

In the event that you do not obtain a release or consent of an intellectual property holder, and an action of any kind is brought or threatened against Rabbit Hole Pictures, you agree to indemnify Rabbit Hole Pictures for all costs and fees in defending itself in any allegations of infringement.

7. SELECTION OF THE WINNER, ODDS OF WINNING & JUDGING CRITERIA. Odds of winning the Contest will vary based on a number of participants in the Contest. After the Contest Period, the Judges, in their sole discretion, will select ten (10) Submissions from all Entrants who submit entries that comply with the Official Rules during the Contest Period, nine (9) of which will be considered the “Runners Up” and one (1) winner (the “Winner”), based on originality (34%), creativity (33%), and entertainment value (33%). The Judges’ decision shall be final and binding on all Entrants, and their selection of the Runners Up and the Winner is entirely within their discretion. The selection will take place within two (2) weeks after the conclusion of the Contest Period, or any extension thereto. The Runners Up and the Winner will be notified via email of the Judge’s decision. Failure to comply with any term or condition of the Official Rules, may result in disqualification and an alternate Runners Up or Winner will be chosen as determined by the Judges. Decisions of the Judges, interpretation of the Official Rules, and the selection of the Runners Up and/or Winner will be final.

If the Winner or any Runners Up cannot be contacted within one (1) week after being selected, then those persons forfeits the Prize in its entirety and a new Winner or Runner Up will be chosen.

If you are chosen as a Winner and have a written screenplay, Rabbit Hole Pictures and its executives will provide you with complimentary written feedback on your written screenplay, should you so desire. These details will be discussed if you are chosen as a Winner.

8. PRIZE.  There will be a total of one (1) winning prize for the Contest Period, that will receive two thousand five hundred dollars ($2,500.00) cash, and the nine (9) Runners Up will receive fifty dollars ($50) cash each (the “Prize”). Rabbit Hole Pictures will send the Prize to the Winner and Runners Up, within thirty (30) days after fulfilling all requirements under this Contest, via electronic transfer (at the request of Winner) or via a check, sent to the address provided to Rabbit Hole Pictures.

    

9. ADDITIONAL PRIZE TERMS. The Prize is not assignable or transferable, and it may not be exchanged for other valuable consideration. By accepting the Prize, Winner and Runners Up agree to release Rabbit Hole Pictures from any and all liability, loss or damage of any kind arising out of or in connection with their participation in the Contest.

Noncompliance with the Official Rules may result in disqualification and an alternate Winner or Runner Up maybe notified. In the event there is any question as to the originality of the any of the winning entries, Rabbit Hole Pictures reserves the right to revoke the Prize and disqualify the Submission in its sole discretion.

10. GRANT OF RIGHTS. By submitting a Submission into the Contest, you hereby grant Rabbit Hole Pictures a license to discuss, share, and publicize your name, likeness, Submission, and anything submitted with your Submission on its Website and Social Media Accounts. If your Submission contains any material or element that is not owned by you, and/or are subject to any third parties’ rights, you are responsible for obtaining, prior to submission of your entry, and warrant that you have obtained all releases and consents necessary to grant the rights set forth above. Rabbit Hole Pictures shall not be responsible for any unauthorized use of your entry by a third party.

     

11. INDEMNIFICATION. ENTRANT SHALL INDEMNIFY, DEFEND, AND HOLD HARMLESS RABBIT HOLE PICTURES FROM ANY FEES, ROYALTIES, COSTS, DAMAGES, OR EXPENSES (COLLECTIVELY, “COSTS”) ARISING OUT OF ANY THIRD-PARTY CLAIMS, LAWSUITS, COMPLAINTS, ACTIONS, CAUSES OF ACTION, DAMAGES, OR LIABILITIES (“CLAIMS”) THAT RELATE TO ENTRANT’S SUBMISSION OR PARTICIPATION IN THE CONTEST, THE RABBIT HOLE PICTURE’S EXERCISE OF THE RIGHTS GRANTED AND CONTEMPLATED HEREIN, OR FROM YOUR BREACH OF THIS AGREEMENT.

     

12. REPRESENTATIONS AND WARRANTIES. By submitting a Submission for the Contest, you certify, represent, and warrant that the submission is your original content, and your content does not infringe, misappropriate, or violate a third party’s copyright, trade secret, or intellectual property rights, or rights of publicity or privacy, or violate of any applicable law or regulation when used as contemplated in these Official Rules. 

     

13. LIMITATIONS OF LIABILITY. By participating in the Contest or accepting the Prize, you hereby waive, release, and discharge to the fullest extent permitted by law Rabbit Hole Pictures and any of its employees, officers, directors, members, shareholders, attorneys, and agents (collectively, the “Released Parties”) from and against any claims, damages, or liability arising out of or related to your participation in the Contest, even if caused by the negligence or willful misconduct of the Released Parties.

IN NO EVENT WILL THE RELEASED PARTIES BE LIABLE TO YOU FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE CONTEST OR USE OF THE PRIZE, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND REGARDLESS OF WHETHER THE RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.

Any claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event shall attorney’s fees be awarded. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

The Released Parties are also not responsible for: (i) technical problems or technical malfunction which may affect the operation of the Contest, including but not limited to any of the following occurrences: (a) hardware or software errors; (b) faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; (c) errors or limitations of any Internet service providers, servers, hosts or providers; (d) problems with data transmissions; (e) any inability to upload a Submission in connection with participation in the Contest; (f) unauthorized human or non-human intervention of the operation of the Contest, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; (g) destruction of any aspect of the Contest, or loss, miscount, misdirection, inaccessibility or unavailability of an account used in connection with the Contest; or (h) any typographical errors in the Official Rules or the announcement of the Winner
 

14. WHO WON? The Winner will be posted on our Website and/or Social Media Accounts. 
     
15. GENERAL PROVISIONS.
    
    1. Contest Termination. Rabbit Hole Pictures reserves the right, at its sole discretion, to cancel, modify, or terminate the Contest. Rabbit Hole Pictures may, at its election, end the Contest prior to the end of the Contest Period by providing notice on Rabbit Hole Picture’s Website or Social Media Accounts, and judge all Entrants’ eligible submissions received prior to the early-termination date to determine the Winner.
       
    2. If Rabbit Hole Pictures fails to exercise any provision of the Official Rules or enforce its rights thereunder, that delay or failure shall not constitute a waiver of any such provision or rights. Rabbit Hole Picture’s waiver shall only be effective if it is expressly stated in a writing signed by Rabbit Hole Pictures.
    3. By participating in this Contest, you agree to waive any right to claim ambiguity in the Official Rules.
    4. Rabbit Hole Pictures reserves the right to make changes or additions to the Official Rules and/or change the dates of the Contest at any time without any advance notice.
    5. Choice of Law. The Contest and the Official Rules are governed by the laws of the State of Florida, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws.  All disputes must be settled by binding arbitration in Miami-Dade County, Florida.
    6. Enforcement and Interpretation of the Official Rules. The enforcement and interpretation of the Official Rules shall be exclusively determined by Rabbit Hole Pictures in its sole discretion. You agree to be bound by all such determinations and acknowledge that such determinations are final and non-appealable.
    7. If any provision of the Official Rules is in conflict with any statute or rule of law of the State of Florida or is otherwise unenforceable for any reason whatsoever, then such provision shall be ineffective to the extent of such invalidity and shall be deemed separable from and shall not invalidate any other provision of this Agreement.
    8. Entire Agreement. The Official Rules constitute the entire agreement between the all Entrants and Rabbit Hole Pictures with respect to the subject matter herein and it supersedes all other agreements, letters, memorandum, or any other prior understanding of any type, whether oral or written.
